1) About these Terms
These Terms govern your access to and use of the Site, any sub-domains, and any related mobile or desktop applications (together, the "Service"). By using the Service, you agree to these Terms and our Privacy Policy and Cookies Policy. If you do not agree, do not use the Service. The Service is intended for users 18 years or older.
2) What we do (educational use only – no medical advice)
Content on the Service (including videos, audio, transcripts, images, scenarios, model answers and feedback) is for educational purposes only. It is not medical advice, diagnosis, or treatment guidance and does not replace your own clinical judgement or local guidelines. Consumers must seek advice from a qualified healthcare professional for medical concerns. We do not guarantee success in any examination or assessment.
3) Accounts
- You must keep your login secure and not share it.
- Information you provide must be accurate and kept up to date.
- We may suspend or terminate accounts that breach these Terms or applicable law.
4) Buying from us
We may offer one-off purchases (e.g., timed access) and recurring subscriptions (monthly/annual). Product descriptions, access periods and prices are shown at checkout. Prices may include VAT where applicable; the payable amount will be shown before you complete purchase.
Institutional / team purchases
If an organisation purchases access for you, its administrator controls start/end dates and may manage or revoke access. These Terms still apply to individual users.
5) Payments and invoicing
We use third-party processors (e.g., card providers, PayPal, direct debit providers). By paying, you authorise the applicable provider to charge your payment method for the price, taxes and any pro-rations disclosed at checkout. Keep your billing details current.
6) Subscriptions, renewal and cancellation
Auto-renewal
Subscriptions renew automatically at the end of each paid term unless cancelled.
How to cancel:
- Email admin@surgicalminds.com from your registered email. Cancellation is effective when submitted. You will receive confirmation by email.
Effect of cancellation:
- Standard: you keep access until the end of the current paid term; auto-renew stops; no further charges.
Cooling-off (UK/EU consumer contracts):
If you purchase as a consumer online, you have 14 days from the contract date to cancel without giving a reason under the Consumer Contracts Regulations 2013.
- If you requested access to start during that period, we may deduct a pro-rata amount for the service already supplied and refund the balance.
- These statutory rights do not apply to business/institutional purchases.
Free trials / introductory pricing:
We will display the length and follow-on price. If you cancel before the trial ends, you will not be charged. For longer terms we will send a pre-renewal reminder.
Refunds:
- Within the 14-day consumer cooling-off window: full refund or pro-rata deduction if service already started.
- Outside the cooling-off window: we ordinarily do not provide partial refunds for remaining term. We will refund for duplicate charges, card errors, or service failures caused by us. Refunds are to the original payment method within 14 days of confirmation.
Changes to prices or subscription terms:
We will give at least 30 days' notice of material changes. If you do not agree, you can cancel before the change takes effect.
Third-party app stores/resellers:
If you subscribed via Apple/Google or another reseller, manage cancellation and refunds through that provider.
7) Your licence to use the Service
We grant you a personal, non-exclusive, non-transferable, revocable licence to access the Service and its educational content for your own learning during the access period purchased. You must not share, copy, record, redistribute, resell, or make the content available to others, nor use it to create competing products.
8) Intellectual property
All content on the Service (including case scripts, model answers, audio, video, transcripts, images, logos, software and design) is owned by Surgical Minds or our licensors (including licensed medical images) and protected by copyright and other rights. All rights are reserved. Do not remove proprietary notices or use our trade marks without written permission.
9) User content, recordings and AI features
Some features allow you to submit answers by text/audio and receive AI-assisted feedback or transcripts.
- You must not upload or include any personal data about patients or other third parties (no identifiable PHI).
- You grant us a worldwide, royalty-free licence to host, process and transcribe your submissions solely to deliver the Service, improve its quality (including quality assurance and model evaluation), maintain security, and comply with law. We will not publish your identifiable submissions for marketing without your permission.
- AI transcription/feedback may contain errors; always verify before relying on it.
10) Acceptable use (what you must not do)
You agree not to:
- circumvent access controls, share logins, or bulk-download/archive content;
- copy, adapt, reverse engineer, or create derivative works from our Service;
- use spiders/scrapers or impose unreasonable load;
- upload illegal, defamatory, infringing, obscene, discriminatory or harmful material, malware, or advertising/spam;
- use the Service to give or seek individual medical advice;
- use the Service to build a competing product.
We may suspend or terminate access for breaches and take appropriate legal action.
11) Third-party links, platforms and app stores
The Service may link to third-party sites or embed third-party players. We are not responsible for third-party content or policies. If you use our apps via the Apple App Store or Google Play, your use also follows their terms. Apple/Google are not responsible for the Apps or support.
12) Availability and changes
We aim for high availability but do not guarantee uninterrupted access. We may update, suspend or remove features (for example, maintenance or security). Where changes materially reduce the Service you have already paid for, we will act reasonably (e.g., provide equivalent access or a pro-rata remedy).
13) Copyright concerns (UK notice-and-takedown)
If you believe your copyright is infringed on the Service, email admin@surgicalminds.com with: (a) your contact details; (b) identification of the work; (c) the location/URL on the Service; (d) a statement that you own the rights (or are authorised) and that the notice is accurate in good faith. We will investigate and respond.
14) Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited under law. Subject to the foregoing:
- The Service is provided on an "as is" and "as available" basis for educational use.
- We disclaim implied warranties to the extent permitted by law.
- For business users, our total liability arising out of or in connection with the Service is limited to the greater of £100 or the total fees paid by you to us in the 12 months before the event giving rise to the claim.
- For consumers, you have statutory rights under the Consumer Rights Act 2015; these Terms do not affect those rights.
15) Indemnity (business users)
If you use the Service in a business capacity, you agree to indemnify us against claims, losses and costs arising from your unlawful use of the Service, your breach of these Terms, or your infringement of third-party rights.
16) Data protection
We process personal data in accordance with our Privacy Policy and applicable data protection law (UK GDPR and Data Protection Act 2018). Do not submit personal data about patients or others.
17) Age and territory
The Service is for users 18+. We are based in the UK and do not represent that content is appropriate or available in other locations. If you access from elsewhere, you are responsible for compliance with local law.
18) Changes to these Terms
We may amend these Terms to reflect legal, technical or business changes. For material changes, we will notify you (e.g., by email or in-Service notice). Continuing to use the Service after changes take effect means you accept the updated Terms.
19) Governing law and jurisdiction
These Terms and any dispute or claim (including non-contractual disputes) are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except that consumers resident elsewhere in the UK/EU may bring claims in their local courts.
